Ron Hulen advises and assists clients in transactional matters including negotiating, drafting, due diligence with respect to, and closing agreements for the purchase and sale businesses in both asset and stock purchases. He has negotiated and drafted a large variety of agreements, including stock redemption agreements, employment agreements, indemnity agreements, guaranty agreements, consulting agreements, and confidentiality and nondisclosure agreements.
Ron also advises and assists clients in negotiating, drafting and closing real estate purchase and sale agreements, construction contracts, leases and management agreements for vacant and developed land, including apartment and office building developments. He's negotiated and drafted covenants, conditions, restrictions, easements, licenses, options, rights of first refusal, and rights of first offers.
In addition, Ron advises and assists clients in drafting entity formation and governance documents for corporations, limited liability companies, and partnerships, with and without different classes of equity owners.
